American’s Azul Bet Isn’t a Bet

Brazil's antitrust regulator, CADE, cleared American Airlines' $100 million investment in Azul on July 31, unconditionally. American will acquire an 8.66% equity stake, a board seat, and a seat on Azul's strategic committee. Unless challenged within 15 days of publication in Brazil's official gazette, the deal becomes final. That's a clean, unremarkable-sounding regulatory approval. The more interesting fact sits one layer down. United Is Doing the Exact Same Thing United Airlines is also investing $100 million in Azul, raising its existing stake from roughly 2% to nearly 8% — approved by CADE separately, back in January. Azul CEO John Rodgerson confirmed in March that both American's and United's investments were core components of Azul's Chapter 11 restructuring, which the airline entered in May 2025 and exited in February 2026 — a fast turnaround for a bankruptcy process, helped along by two of its biggest US rivals writing checks to the same distressed carrier at the same time. Two competing US legacy carriers, each buying roughly the same size stake in the same Brazilian airline, in the same restructuring, within months of each other. That's not a coincidence of timing — it's both American and United deciding Azul's post-restructuring position in the Brazilian market is worth owning a piece of, independent of what the other does. American's Hedge in the CADE Filing Here's the part worth sitting with. CADE's review noted American's existing commercial partnership with Gol — Azul's chief domestic rival, owned by Abra Group. Abra formally objected to American's Azul investment, arguing it could shift American's connecting traffic away from Gol and weaken competition. CADE dismissed the objection, concluding Gol's and Azul's domestic networks are complementary rather than directly competing, and found no economic logic for American to abandon its Gol partnership because of the Azul stake. American is now financially positioned inside both of Brazil's two largest airline groups — a partnership with Gol, and now equity plus a board seat at Azul. That's not picking a side in Brazil's domestic rivalry. It's American refusing to pick one, buying exposure to whichever carrier ends up winning the post-restructuring Brazilian market, while United does something functionally similar from its own separate position. What Both Carriers Actually Get Beyond the equity itself, the deal includes expanded code share service, reciprocal frequent flyer benefits, and shared airport lounges — the standard toolkit for converting a passive investment into real connecting traffic. Azul brings the largest domestic network in Brazil by points served; American and United both get a funnel from Brazil's interior into their US gateways without having to build that network themselves. CADE did flag route overlap on São Paulo and Rio de Janeiro services to Miami and Orlando, but concluded American and Azul aren't close enough competitors on those specific routes to matter. Why Brazil Matters Brazil is clearly getting a lot of attention. Why? Outbound US Traffic The first chart shows traffic from the US to Brazil, and the annual average is close to 2 million. Once again, we see US flag dominance. Brazil is one of the top twenty markets for the US. In terms of net passengers (arrivals minus departures) Latin America is a net positive market. The data we see shows Brazil is big and growing. Of course American and United want a piece of that. The real story is that two major US carriers independently decided the same distressed Brazilian airline was worth owning a piece of during its restructuring, and that American is doing so without giving up its existing position with Azul's chief rival. That's a carrier hedging a foreign market it doesn't want to lose exposure to, not a carrier making a strategic bet on a single partner. Moreover, given American's shortage of long haul seats, this move is proactive to generate seats.
